Lenders and Investors

Lender or investor services review of insurance and associated risk management aspects from the viewpoint of the lender or investor and focus on general adequacy to protect any load or investment and potential to eliminate or avoid insurable risk elements.

Services are tailor made, but typically include all aspects normal to owner or contractor or P3 insurance services on a preliminary and ongoing basis, as required, plus:

  • Assessment of specific technical risk aspects via JLT or other Engineering Professionals; liaise with Lenders’ appointed Technical Advisor
  • Maximum Foreseeable Loss (MFL) and similar studies in relation to project risk
  • Assist as required in any loan syndication requirements post project award
  • Assist in preparation of all insurance documents required for financial close
  • Liaise with various parties’ legal counsel as required
  • Negotiation with government entities and borrowers (and/or their insurance consultants) as required
  • Assist in finalization of load or equity agreements
  • Review of Delayed Start Up and Business Interruption requirements in relation to Project profits and/or debt serving requirements of lenders or equity investors
  • Assessment of insurance policies, surety bonds and associated documents in terms of compliance with final contractual specifications of RFP and Loan/Investment documents
  • Assessment of adequacy of insurance/surety to protect lender/investor, directly and indirectly and regardless of formal insurance/surety specifications all as to risk and as to establishment of special endorsement rights of and protection of lenders/investors (notices, special lender endorsements, loss payee, insurance claims/premium trust aspects)
  • Consideration of long-term economics and stability of supply of insurance/surety specifications for given Project
  • Assessment of quality and utility of procedural project systems in terms of general monitoring, reporting, loss prevention and claims reporting, resolution and appropriate utilization of funds
  • Assessment and monitoring of insurer quality and financial rating in terms of loan/investment agreement and at time of financial close
  • Execute Lender’s Certificate, verifying insurance is reasonably adequate and in place to certain levels and specifications and agreeing to otherwise deal with specific  requirements and monitor specified parameters at lenders direction
